FOR USE OF IMAGE

Parties:

This License Agreement (the "Agreement"), Number [# of License] is entered into this [date] by and between Margaret Lois Jansen, the owner of the Copyright for the Image identified as [number and name of Image] (the "Licensed Work"), with principle offices at 1807 Christopher Lane, Indianapolis, Indiana, 46224 (the "Licensor") and [Licensee] [on behalf of name of organization, if applicable] with its principal offices at [Address] (the "Licensee").

1. Grant of License. The Licensor, in consideration of the Licensee's payment of [amount of consideration], may duplicate, enlarge, minimize, and distribute copies of the Licensed Work in the United States of America in [type of use, brochures, t-shirts, announcements, letterhead]. The Licensee may not substantially change the image. Substantially changing the image includes but is not limited to adding to the content of the image, subtracting from the content of the image, changing the positive image into a negative one, or creating any change that would cause the image to differ significantly from the original. This License expressly prohibits the duplication, enlargement, minimization, and/or distribution of the Licensed Work in greeting cards, note cards, gift cards, business cards, e-cards in any form or size. The Licensee is expressly prohibited from using the images in any defamatory, libelous or otherwise unlawful manner whether directly or in context or juxtaposition with subject matter that may be determined to be defamatory, libelous or unlawful. The Licensee may not incorporate an image into a logo, trademark, or sevice mark, unless specifically identified as a permitted use. The Licensee may not post an image on-line to be downloaded, unless specifically identified as a permitted use. This License is granted under the condition that the Licensee places the Copyright Notification on each copy created by this License. See Paragraph 2 for description of the Copyright Notification. This Agreement shall be nonexclusive and shall be revocable, at the sole election of the Licensor, if the Licensee shall fail to comply with the terms of this Agreement and such failure shall continue for 15 days after notice.

2. Copyright Notification. The Copyright Notification is to read:

3. Negation of Rights Not Licensed. Any rights that are not expressly granted by this Agreement shall not be implied; the License granted pursuant to this Agreement authorizes or permits only the use of the Licensed Work that is expressly provided herein.

4. Duration of License. This Agreement shall commence on the date first written above and shall terminate on [date of termination].

5. Verification Rights and Cost of Verification in the Case of Violation. The Licensor shall have the right, at any time on 24 hours notice, during the Licensee's regular hours of business, to verify use of the Licensed Work under the terms of this Agreement. In the event that the Licensor shall discern that the Licensee has violated the terms of this Agreement in the use of the Licensed Work then the reasonable expenses of the Verification shall be borne by the Licensee.

6.1 The Licensor's Warranties. The Licensor represents and warrants that it is the owner of the entirety of the rights in the Licensed Work and that it has the full authorization and authority to enter into this Agreement and grant the Licenses herein. The Licensor further represents and warrants that the Licensed Work is original and does not constitute an infringement of any valid and subsisting copyright and that the Licensee's use of the Licensed Work will not infringe upon or violate the rights of any third party.

6.2 No Grant of Other Rights. No other rights, permission or consent is necessary for the Licensee to use the Licensed Work in accordance with the License granted herein nor are any fees, royalties or a use payment of any kind due to third parties in connection with the exercise of the Licenses granted herein.

7. Assignment. The License granted to the Licensee is personal and shall not be assigned or otherwise transferred without the prior written consent of the Licensor.

8. Hold harmless. The Licensee agrees to idemnify and hold Licensor harmless against all claims arising out of any breach of this Agreement.

9. Breach. In the event that the Licensee shall exercise the grants Licensed herein but shall breach this Agreement, all such exercises of the grant at times after expiration of the 15 day notice period without cure shall be deemed acts of infringement. Notice shall be given by certified mail and served on the Agent designated in Paragraph 10.

10. Governing Law. This Agreement shall be governed pursuant to the laws of the State of Indiana and any dispute arising under this Agreement shall be resolved solely in the state or federal courts of the State of Indiana, each party submitting to the jurisdiction and venue of such court and the [Licensee] designating [name of Agent or person who would receive service of process; address and phone number of person to receive Notice or Service] as its agent for service of process in any such action.
